How these Terms work with our Privacy Policy

These Terms set out rules of use, acceptable conduct, billing, and legal risk allocation for BidPilotPro. They do not replace our Privacy Policy, which explains what categories of data we collect, why we process them, retention, and security measures—including hosting on Supabase and payments handled by Stripe as described there. If a topic is addressed only in the Privacy Policy (for example, deletion requests or regional privacy rights), the Privacy Policy controls for that topic. If a topic is addressed only here (for example, marketplace compliance or subscription cancellation mechanics), these Terms control.

What counts as the BidPilotPro Service

Throughout these Terms, the “Service” means the BidPilotPro properties and features we operate for paying and free-tier users, currently including:

  • The public marketing site and authenticated web application at bidpilotpro.com (including account registration, subscription management, and in-browser tools such as saved Upwork project filters and optional desktop notifications when you allow them in Chrome).
  • The Upwork Copilot Chrome extension experience that surfaces proposal drafting, past-work matching, job scoring or analysis helpers, and related shortcuts while you browse Upwork job pages you already have access to.
  • The Freelancer.com auto-bid and proposal workflow features delivered through our separate Chrome extension surface for Freelancer, subject to the same account and billing relationship.
  • Optional community blog flows where eligible users may draft posts for editorial review; certain actions can debit the account balance as described in the Payment section when those optional flows are enabled in-product.

We may add, change, or retire specific sub-features within the Service (for example, renaming a tab or combining tools) without updating every marketing page immediately, provided the overall Service remains consistent with what a reasonable user would expect from their plan documentation in the dashboard.

1. Acceptance of Terms

By accessing or using BidPilotPro (the "Service"), you agree to these Terms of Service. If you do not agree, you must not create an account, install our extensions, or continue using the Service.

These Terms govern access to and use of the Service provided by BidPilotPro ("we," "us," or "our"). Capitalized words used in a special sense may be defined in context; where not defined, they carry their ordinary English meaning.

2. Description of Service

BidPilotPro helps independent professionals respond to public marketplace opportunities on Upwork and Freelancer.com using a combination of workflow automation, AI-assisted drafting, and scoring or summarization based on information you already have permission to view in your browser session. The Service is a productivity layer—it does not replace your judgment, your obligations under each marketplace's own terms, or your duty to review anything before you submit it.

Depending on your plan and configuration, features may include:

  • AI-assisted proposal and cover-letter generation grounded in your profile, preferences, and past work
  • Heuristics or models that suggest which portfolio links or skills to emphasize for a given job post
  • Dashboard controls for Upwork project filters, optional notifications, and related job discovery settings
  • Job or client analysis views that consolidate public job and client statistics into scores or summaries
  • AI-assisted drafting for client messages or interview follow-ups where those tools are offered
  • Account, subscription, and usage management through bidpilotpro.com
  • Chrome extensions that inject BidPilotPro UI and actions into supported marketplace pages you open

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

  • You must be at least 18 years old to create an account
  • You are responsible for maintaining the security of your account
  • You must notify us immediately of any unauthorized use of your account
  • You are responsible for all content and data associated with your account
  • You must provide accurate and truthful information about yourself and your work

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.

4. Use of Service

4.1 Permitted Use

You may use our Service for lawful purposes only and in accordance with these Terms. You agree to:

  • Use the Service only for generating proposals for legitimate job opportunities
  • Provide accurate information about your skills, experience, and past work
  • Review and customize generated proposals before submission
  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of others

4.2 Prohibited Uses

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction (including but not limited to copyright laws)
  • Transmit any worms, viruses, or any code of a destructive nature
  • Attempt to gain unauthorized access to our Service or related systems
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service to generate spam, fraudulent, or misleading proposals
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Collect or store personal data about other users without their permission
  • Circumvent Upwork, Freelancer.com, or Stripe technical limits, rate limits, or account eligibility rules—for example by sharing one BidPilotPro login across multiple unrelated marketplace identities to pool usage
  • Use auto-bid or bulk proposal features in a way that would obviously violate the target marketplace's anti-spam, fair bidding, or authenticity policies, including sending proposals to jobs you have not meaningfully reviewed when human review is required
  • Misrepresent AI-generated text as wholly human-written where that misrepresentation would be material to a client or platform investigation

5. Payment and Subscriptions

5.1 Subscription Plans

We offer multiple subscription tiers with different feature flags and usage limits, as described in-product at the time you subscribe. Subscription fees are billed in advance on the billing cadence you select (for example monthly or annual) through our payment processor.

5.2 Payment Terms

Card and wallet charges are processed by Stripe. BidPilotPro does not store your full card number on our own servers; Stripe's terms and privacy notice also apply to that portion of the checkout flow.

  • All fees are non-refundable except as required by law or as explicitly stated in these Terms
  • You authorize us to charge your payment method for all fees associated with your subscription
  • If payment fails, we may suspend or terminate your access to the Service
  • Prices are subject to change with 30 days' notice to existing subscribers
  • You are responsible for any taxes applicable to your use of the Service

5.3 Account balance and optional blog publishing fees

Some workflows debit a prepaid account balance inside BidPilotPro instead of charging your card directly. When community blog publishing is available, submitting a draft for admin review currently debits $6.00 USD from that balance, and requesting featured placement on the public blog index (where offered) currently debits $10.00 USD. Those dollar amounts may change if we update in-product pricing; the value shown at checkout or confirmation in the Service at the time you confirm the action prevails over older marketing copy.

Balance debits are not a separate subscription—they are optional, per-action charges you opt into by continuing past any confirmation screen. If your balance is insufficient, the action will not complete until you add funds according to then-current top-up mechanics.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

5.5 Refunds

Refunds are provided only in exceptional circumstances at our sole discretion. If you believe you are entitled to a refund, please contact our support team.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by BidPilotPro and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain ownership of all content you submit to the Service, including your profile information, past works, and preferences. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service.

6.3 Generated Proposals

Proposals generated by our Service are created using your content and our AI technology. You own the generated proposals and may use them for your intended purposes. However, you may not resell, redistribute, or use the proposals in a manner that violates these Terms or applicable laws.

7. AI-Generated Content

Our Service uses artificial intelligence to generate proposals. You acknowledge and agree that:

  • AI-generated content may contain errors or inaccuracies
  • You are responsible for reviewing and editing all generated proposals before use
  • We do not guarantee the quality, accuracy, or suitability of generated content
  • You should not rely solely on AI-generated content without human review
  • We are not responsible for any consequences resulting from the use of generated proposals

8. Third-Party Platforms

BidPilotPro is not Upwork, Freelancer.com, Stripe, Google, or any other third-party brand we interoperate with. Nothing in these Terms grants you any license to those companies' trademarks, APIs beyond what their own terms already give you as their customer, or any special status on their platforms. You remain solely responsible for your marketplace accounts, connects or bid credits, proposal eligibility, tax reporting, and compliance with each platform's current rules—including any future rule change that restricts browser extensions, automation, or AI-assisted drafting.

Our Service integrates with third-party platforms such as Upwork and Freelancer.com. You acknowledge that:

  • We are not affiliated with, endorsed by, or sponsored by these platforms
  • You must comply with the terms of service of these third-party platforms
  • We are not responsible for any actions taken by these platforms
  • Your use of our Service does not guarantee acceptance of your proposals by clients
  • We do not control the availability, features, or policies of third-party platforms

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or quality of generated proposals
  • Warranties that your proposals will be accepted by clients or lead to job offers

We do not guarantee that the Service will meet your requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIDPILOTPRO, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from your use or inability to use the Service
  • Damages resulting from any errors or omissions in the Service
  • Damages resulting from unauthorized access to or alteration of your data

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless BidPilotPro and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Any content you submit or generate through the Service

12. Service Availability

We strive to maintain the availability of our Service but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance that may temporarily interrupt the Service
  • Experience technical difficulties or outages beyond our control
  • Modify, suspend, or discontinue any part of the Service at any time
  • Limit access to the Service during periods of high demand

We are not liable for any loss or damage resulting from Service unavailability.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

13.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you:

  • Violate these Terms or any applicable laws
  • Engage in fraudulent, abusive, or illegal activity
  • Fail to pay subscription fees when due
  • Use the Service in a manner that harms us or other users

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data, subject to our data retention policies as described in our Privacy Policy.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending an email notification to registered users (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BidPilotPro operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the appropriate courts of that jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidPilotPro regarding your use of the Service and supersede all prior agreements and understandings.
